Terms and Conditions for Audio Licensing Subscription

I. Agreement Overview
These General Terms and Conditions ("Agreement") govern the subscription-based audio licensing services provided by [800AUDiO] ("Provider") to the Subscriber ("Client"). By subscribing to the Provider’s services, the Client agrees to adhere to the terms set forth below.

II. Subscription Plans

Monthly Subscription: The Client is billed monthly for access to the audio licensing library.

Yearly Subscription: The Client is billed annually at a discounted rate for access to the audio licensing library.

Minimum Term Commitment: The subscription requires a minimum two-year commitment.


III. Early Termination Clause
If the Client cancels the subscription before completing the two-year commitment, the Client will be charged the full individual service cost for all licensed materials accessed during the subscription term.

IV. Return Policy

The Client may cancel their subscription and request a refund within the first 7 days of the initial subscription period.

Refunds will not be issued after the 7-day return period.


V. Licensing Rights and Restrictions

The Client is granted a non-exclusive, non-transferable license to use the audio materials for approved purposes during the subscription term.

Subleasing Prohibited: The Client is strictly prohibited from subleasing, reselling, or otherwise redistributing any licensed materials acquired through the subscription.

The Client must comply with all applicable copyright and intellectual property laws when using the licensed materials.


VI. Payment Terms

Subscription fees will be automatically charged to the payment method on file on a recurring basis (monthly or yearly, depending on the chosen plan).

Late payments may result in suspension or termination of access to the audio licensing library.


VII. Ownership of Materials

All licensed audio materials remain the sole property of the Provider and its licensors. The Client does not acquire any ownership rights by subscribing or licensing materials.


VIII. Modifications to the Agreement

The Provider reserves the right to update or modify these terms at any time. Notice of changes will be provided to the Client, and continued use of the services constitutes acceptance of the updated terms.


IX. Termination by Provider

The Provider reserves the right to terminate the subscription immediately if the Client breaches any terms of this Agreement, including but not limited to subleasing licensed materials.


X. Liability and Indemnity

The Provider shall not be held liable for any damages resulting from the misuse of licensed materials. The Client agrees to indemnify and hold the Provider harmless from any claims arising from unauthorized use.


XI. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction].

II. Planes de Suscripción

Suscripción Anual: El Cliente será facturado anualmente a una tarifa con descuento por el acceso a la biblioteca de licencias de audio.

IV. Política de Devolución

El Cliente puede cancelar su suscripción y solicitar un reembolso dentro de los primeros 7 días del período inicial de suscripción.

No se emitirán reembolsos después del período de devolución de 7 días.


V. Derechos de Licencia y Restricciones

Se concede al Cliente una licencia no exclusiva e intransferible para utilizar los materiales de audio para fines aprobados durante el período de suscripción.

Prohibición de Subarrendamiento: El Cliente tiene estrictamente prohibido subarrendar, revender o redistribuir de cualquier manera los materiales licenciados adquiridos a través de la suscripción.

El Cliente debe cumplir con todas las leyes aplicables de derechos de autor y propiedad intelectual al utilizar los materiales licenciados.


VI. Términos de Pago

Las tarifas de suscripción se cobrarán automáticamente al método de pago registrado de manera recurrente (mensual o anual, según el plan elegido).

Los pagos atrasados pueden resultar en la suspensión o terminación del acceso a la biblioteca de licencias de audio.


VII. Propiedad de los Materiales

Todos los materiales de audio licenciados siguen siendo propiedad exclusiva del Proveedor y sus licenciantes. El Cliente no adquiere derechos de propiedad al suscribirse o licenciar materiales.


VIII. Modificaciones al Acuerdo

El Proveedor se reserva el derecho de actualizar o modificar estos términos en cualquier momento. Se notificará al Cliente de los cambios, y el uso continuo de los servicios constituye la aceptación de los términos actualizados.


IX. Terminación por Parte del Proveedor

El Proveedor se reserva el derecho de terminar la suscripción de manera inmediata si el Cliente incumple cualquier término de este Acuerdo, incluyendo pero no limitado al subarrendamiento de materiales licenciados.


X. Responsabilidad e Indemnización

El Proveedor no será responsable de los daños resultantes del uso indebido de los materiales licenciados. El Cliente acepta indemnizar y eximir de responsabilidad al Proveedor frente a cualquier reclamo derivado del uso no autorizado.


XI. Ley Aplicable
